**POSITION DESCRIPTION:**


The Senior Corporate Development Associate participates
in Medtronic Business Development projects including mergers and acquisitions,
strategic alliances, joint ventures, minority investments, technology licenses
and divestitures, for which the Medtronic Business Development group has
primary responsibility. The Senior Associate is required to work in close
partnership with project teams that generally include personnel from various
corporate and/or business unit functional departments including finance, tax,
law, human resources and benefits, purchasing and procurement, information
technology, quality assurance, and regulatory. The Senior Associate participates
in the Medtronic Business Development activity by performing market analysis,
financial analysis, deal structuring and negotiation, and due diligence
coordination. The Senior Associate is responsible for executing project
requirements and preparing and presenting proposals and recommendations to
management. In addition, the Senior Associate may interact with third parties
to solve problems and improve processes. The Senior Associate generally is
required to participate in 4 to 6 projects at any one time.


**POSITION RESPONSIBILITIES:**


+ Assess project requirements and identifynecessary personnel and information resources for project team

+ Perform market analysis for proposedtransactions, and transaction relationship/fit with Medtronic strategicobjectives

+ Perform company, market, competitor, andindustry research and analysis and prepare profiles

+ Identify and assess opportunities and risks ofproposed transactions, including operational and integration synergies andissues

+ Perform detailed financial analysis anddevelop valuation models for proposed transactions

+ Develop and analyze transaction structures incooperation with legal personnel

+ Serve as a point of contact with thirdparties, lawyers, Medtronic Business Development Directors and Medtronicbusiness unit and functional resources in support of proposed transactions

+ Actively participate in negotiation process incooperation with and with direction from Medtronic Business DevelopmentDirectors

+ Present proposed transactions to appropriatedecision making management groups

+ Manage analysis and due diligence processesincluding coordination of Medtronic functional and business unit personnel

+ Monitor markets, industries and organizationsof potential strategic interest

+ Develop broad knowledge of medical technologyindustry and Medtronic businesses to further develop leadership potential


**EDUCATION:**


+ Bachelorsdegree in finance, marketing, economics or related field; MBA preferred


**EXPERIENCE:**


+ 4+ years ofhealthcare or deal experience or 2+ years of healthcare or deal experiencewith a MBA


**ADDITIONAL REQUIREMENTS:**


+ Experience inthe development of business strategies, tactics and solutions

+ Advancedfinancial modeling experience

+ Experiencemanaging multiple projects simultaneously

+ Experienceworking with all levels of management

+ In-depthexperience creating spreadsheets, presentations and word processing software(Excel, PowerPoint, Word, etc.)

+ Previous workexperience in business development, investment banking, strategic planningand/or operating management

+ Analytical/structuredthinker

+ Strong work ethic and self-motivated

+ Intellectually curious with growth mindset

+ Medical deviceor healthcare industry experience

+ Internationaltransaction experience

+ Strongleadership skills

+ Excellent oraland written communication skills

+ Stronginterpersonal skills with the ability to influence and lead others

+ Strongorganization and prioritization skills with the ability to manage severalprojects simultaneously

+ Ability toperform under pressure and in a very dynamic environment

+ Ability tounderstand complex technical product information
